Tax & Accounting
Services Agreement

A clear explanation of what Tax Hero provides, what professional services require, and how responsibilities are shared between Tax Hero and its customers.

Effective: October 12, 2026 Version: 2026-10-12
Important distinction

A Tax Hero subscription does not automatically mean that a licensed professional has reviewed, approved, signed, or filed your tax return.

The services available to you depend on your selected membership, the published plan description, and any written engagement scope accepted by the parties. Professional services are provided only to the extent expressly included and accepted.

01

Parties and applicability

This Tax & Accounting Services Agreement ("Agreement") governs specified tax preparation, bookkeeping, accounting, and related services provided by Tax Hero AI Inc. ("Tax Hero," "we," "us," or "our") to customers ("Customer," "you," or "your").

This Agreement supplements the Tax Hero Terms of Service and Privacy Policy. It applies to the extent you use or engage Tax Hero for the services described here.

If a separate written engagement letter or service order contains more specific terms for a particular professional service, those specific terms control for that service to the extent of a direct conflict, unless prohibited by applicable law.

This Agreement does not itself establish an engagement with an independent CPA, attorney, or other licensed professional. Any such engagement must be established by the applicable professional or firm.

02

Scope of services

Tax Hero provides technology and may provide or coordinate services related to financial record organization, bookkeeping, tax preparation, business compliance, and professional review.

Services may include document collection, transaction categorization, account reconciliation, financial reporting, tax information preparation, deadline tracking, tax return preparation, and filing support.

The availability of any particular service depends on the customer's membership, entity type, reporting obligations, and agreed scope.

No service is included merely because it is mentioned on the Tax Hero website, in marketing materials, or in this Agreement.

03

Membership tiers

Tax Hero offers different levels of software access and service involvement.

SELF-SERVICE

DIY

The DIY membership is intended for customers who want to use Tax Hero's available software and automated tools to organize records, manage compliance information, and prepare tax-related materials.

DIY does not automatically include professional bookkeeping, CPA review, tax return signing, filing by Tax Hero, or representation before a tax authority.

REVIEW-ASSISTED

With Review

With Review includes applicable software functionality together with the professional review services specifically identified in the customer's accepted service scope.

Review may result in questions, adjustments, or requests for additional documentation. It does not automatically include unlimited corrections, amended returns, audit defense, or representation before tax authorities.

MANAGED SERVICES

Just Handle It

Just Handle It is intended for customers seeking greater assistance with bookkeeping, preparation, and related accounting or compliance workflows.

The specific tasks, filing periods, deliverables, limits, and responsibilities are determined by the accepted service scope. This membership does not constitute an unlimited accounting or tax services retainer.

CUSTOM ENGAGEMENT

Classic Accounting

Classic Accounting is offered through an individually defined engagement. Pricing, services, deliverables, responsibilities, and timing are established through a separate written proposal or agreement.

Submitting an inquiry or requesting a quote does not create an engagement or obligate Tax Hero to perform services.

04

Service scope and authorization

For professional services, the parties may use an engagement letter, service order, accepted proposal, or other written confirmation describing the work to be performed.

That written scope should identify, as applicable, the covered legal entity, tax year or accounting period, included deliverables, applicable forms, fees, responsibilities, and required authorizations.

A customer account, completed onboarding questionnaire, paid subscription, or uploaded document does not, by itself, establish that Tax Hero has accepted responsibility for a particular tax filing or deadline.

Tax Hero may decline or defer work when the requested service is outside its capabilities, conflicts with professional requirements, requires unavailable information, or has not been properly authorized.

05

Customer responsibilities

Customers are responsible for providing complete, accurate, and timely information necessary for the agreed services.

  • Provide all relevant bank and financial records.
  • Disclose business income, expenses, assets, and liabilities.
  • Identify ownership changes and related-party transactions.
  • Disclose foreign shareholders, foreign accounts, and cross-border activities where relevant.
  • Review information, reports, and returns provided for approval.
  • Respond promptly to questions and document requests.
  • Provide required signatures and filing authorizations.
  • Pay applicable governmental taxes, filing fees, and other amounts owed.

Tax Hero may rely on information supplied by the Customer unless the applicable engagement expressly provides for independent verification.

The Customer remains responsible for business decisions, the accuracy of information provided, and legal obligations that have not expressly been assumed by an authorized service provider.

06

Bookkeeping and financial records

Bookkeeping services may include organizing transactions, assigning accounting categories, reconciling available records, and preparing financial summaries.

Reliable bookkeeping depends on complete source information. Missing statements, unexplained transfers, inaccurate opening balances, or incomplete ownership records may prevent accurate reconciliation.

Tax Hero may request supporting documents before treating transactions or balances as finalized.

Unless separately agreed, bookkeeping services do not constitute an audit, review engagement, compilation, or other assurance engagement under applicable professional standards.

Financial statements produced through non-assurance services are not accompanied by an auditor's opinion or assurance report.

07

Tax preparation and filings

When expressly included in an accepted engagement, Tax Hero or an authorized professional may assist in preparing designated tax returns, elections, extensions, or informational filings.

Possible filings may include federal corporate income tax returns, applicable state filings, informational returns, and other documents identified in the relevant service scope.

The inclusion of one tax form does not automatically include related, additional, amended, foreign, or state filings.

For example, the need for Forms 5471, 5472, 1099, state income tax returns, or other specialized filings depends on the customer's facts and applicable law. Each required deliverable must be evaluated and included in the applicable scope.

Preparation does not necessarily mean that Tax Hero or a professional has filed the document with the relevant government authority.

Filing responsibility must be expressly established and may require additional review, customer approval, identity verification, signatures, and filing-specific authorizations.

08

Professional review

Professional review is provided only when included in an accepted engagement or purchased as an eligible service.

The nature and extent of review depend on the agreed scope. Review may be limited to particular documents, accounting periods, tax forms, or identified issues.

A professional may request clarifications or corrections before completing a review.

Professional review does not guarantee acceptance of a tax return, prevention of penalties, a particular tax outcome, or immunity from examination by a government authority.

Unless expressly agreed otherwise, professional review is not an audit of the customer's financial statements.

09

Deadlines and extensions

Tax Hero may provide calendars, reminders, deadline estimates, and compliance information.

Such functionality is informational unless a specific filing responsibility has been accepted in writing.

Tax deadlines may vary based on entity type, tax year, jurisdiction, ownership structure, and other circumstances.

A reminder or displayed deadline does not establish that a return or extension has been prepared, submitted, or accepted.

Where an engagement includes filing assistance, the Customer must provide required information and authorizations sufficiently in advance to permit the agreed work.

Tax Hero does not guarantee that a filing can be completed by a statutory deadline when information, payment, authorization, or other prerequisites are missing.

10

AI-assisted services

Tax Hero may use artificial intelligence and automated technologies to assist with financial document extraction, transaction classification, accounting analysis, and tax preparation.

Automated outputs may contain inaccuracies or require additional supporting information. Human review is provided only as specified in the applicable membership or engagement.

Customers should not interpret an automated response as a signed professional opinion or as confirmation that a filing has been completed.

Processing of customer information by technology providers remains subject to applicable confidentiality, privacy, and tax return information rules.

This Agreement does not replace any consent separately required under Internal Revenue Code Section 7216 or its regulations.

11

Third-party professionals

Certain services may involve independent accountants, CPAs, tax preparers, or other qualified professionals.

The professional responsible for a particular deliverable, including any required tax return signature, will be identified as appropriate for that engagement.

Independent professionals may be subject to their own licensing requirements, professional standards, and engagement agreements.

Tax Hero does not represent that every employee, contractor, automated system, or support agent is a licensed CPA or attorney.

Any transfer of protected tax return information to a third party must comply with applicable law and authorization requirements.

12

Fees and billing periods

Membership fees and billing intervals are disclosed through the applicable pricing and checkout process.

Monthly and annual subscriptions establish their respective billing periods. They do not, by themselves, establish identical professional service entitlements.

An annual professional deliverable, such as a specified tax-year review or managed filing project, is provided only when expressly included in the applicable service scope.

Purchasing a monthly subscription does not automatically entitle a Customer to an entire tax year's professional services or to unlimited historical bookkeeping.

Work outside the included scope may require a separate quote, additional fees, or an upgraded service engagement.

Government filing fees, taxes owed, penalties, interest, and third-party charges are not included unless expressly stated otherwise.

Cancellation, renewal, refunds, and subscription changes are additionally governed by the Terms of Service and the applicable purchase terms.

13

Changes in scope

A customer's circumstances may change during an engagement.

Additional bank accounts, transaction volume, prior-year corrections, foreign ownership, related-party transactions, complex equity transactions, or specialized filing requirements may require additional work.

Tax Hero may propose a revised service scope, timeline, or fee before performing material work outside the agreed engagement.

Material additional professional work will not be treated as authorized merely because a customer has an active subscription.

14

Confidentiality and data

Tax Hero recognizes that providing tax and accounting services may require access to sensitive business, financial, and personal information.

Customer information is handled in accordance with our Privacy Policy and applicable confidentiality and security obligations.

Tax return information may be subject to additional restrictions under Internal Revenue Code Section 7216 and related regulations.

Where separate taxpayer consent is legally required for a particular disclosure or use, acceptance of this Agreement does not substitute for that separate consent.

Customers remain responsible for ensuring that information they provide to Tax Hero has been collected and shared with appropriate authority.

Read our Privacy Policy

15

Limitations of services

Unless specifically included in a separate written engagement, Tax Hero does not undertake the following services:

  • Financial statement audits or attest engagements.
  • Legal representation or legal opinions.
  • Investment advice or valuation opinions.
  • Forensic accounting or fraud investigations.
  • Audit defense or representation before tax authorities.
  • Preparation of every potentially applicable international or state tax filing.
  • Review of periods or entities outside the accepted engagement.
  • Unlimited revisions, corrections, or historical bookkeeping.

Tax Hero does not guarantee any particular tax refund, tax savings, financing outcome, or government determination.

No provision in this Agreement excludes a professional or statutory obligation that cannot lawfully be excluded.

16

Termination and outstanding work

Subscription cancellation and termination of professional services are related but distinct matters.

Cancellation of a subscription does not necessarily cancel a separately signed professional engagement or eliminate fees properly incurred under that engagement.

Likewise, cancellation of a subscription does not mean that unfinished returns, extensions, or accounting projects will automatically be completed.

When a professional engagement ends, the parties may need to coordinate the status of outstanding work, applicable deadlines, outstanding fees, and the handling of customer records.

Any professional withdrawal or termination remains subject to applicable law and professional duties.

17

Responsibility and liability

The limitations of liability, disclaimers, and dispute provisions in the Terms of Service apply to this Agreement to the extent permitted by applicable law.

Those provisions do not override professional duties, statutory liabilities, or rights that cannot legally be waived.

Tax Hero is not responsible for inaccurate results attributable to materially incomplete, false, or misleading customer information, except to the extent applicable law or an assumed professional duty provides otherwise.

Responsibility for errors in professional services will be evaluated in light of the accepted scope, the applicable standard of care, the facts, and governing law.

18

General provisions

Related terms

This Agreement should be read together with the Terms of Service, Privacy Policy, applicable pricing terms, and any separate professional engagement.

Amendments

Tax Hero may update the standard terms applicable to future engagements or renewals.

Material changes to an existing professional engagement should be documented and accepted where required.

Severability

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.

Electronic records

Where legally permitted, agreements and approvals may be completed through electronic processes.

General electronic acceptance does not replace filing-specific signatures, taxpayer authorizations, or separate consents required by law.
